CREDIT BUILDER SERVICE AGREEMENT
(Fixed-Term, Non-Disbursed Credit Reporting Program)

This Agreement outlines the terms and conditions of the Credit Builder Program ("Program") provided by Primeak Inc., a California-licensed finance company (CFL License #11481-99), headquartered at 40 N. Altadena Dr., Suite 105, Pasadena, CA 91107.

Program Summary & Purpose

Primeak Inc. ("Primeak") is a California-licensed finance company (CFL License #11481-99) offering credit-building services to individuals seeking to establish or improve their credit history. Through this Credit Builder Program ("Program"), users agree to make scheduled monthly service payments to simulate positive installment loan activity, which may be reported to one or more national credit bureaus.

This Agreement does not represent a traditional loan, line of credit, or disbursement of funds. Instead, Primeak provides a credit-building service through the following structure:

Service Cancellation and Fee Policy

This Credit Builder Program does not involve a disbursed loan or accrue interest. Participants pay a fixed monthly service fee for credit-building and credit reporting purposes.

You may cancel the program at any time with no early termination fee. If you cancel before completing the full 12-month term, you will not be refunded for any previously paid monthly service fees or any one-time enrollment or setup fees, if applicable. There is no loan origination fee, and no funds are disbursed to participants at any point.

AGREEMENT
Section 1 – Key Terms & Program Definitions

The following definitions apply throughout this Agreement:

  • "Program" refers to the Primeak Credit Builder Program, a fixed-term, subscription-based service designed to help users establish a positive payment history.
  • "Service Fee" refers to the fixed monthly amount charged to the participant ($), payable over a 12-month period.
  • "Participant" refers to the enrolled user of the Credit Builder Program.
  • "Primeak" refers to Primeak Inc., a California-licensed financial services provider (CFL License #11481-99).
  • "Reporting Period" refers to each monthly billing cycle for which payment history may be reported to one or more credit bureaus.
  • "Subscription Term" refers to the intended 12-month duration of the Program.
  • "Cancellation" refers to a participant's voluntary exit from the Program prior to completion, with no penalty and no refund of prior payments.
  • "Credit Reporting" refers to the monthly activity that may be furnished to credit bureaus, provided payments are made in full and on time.
  • "No Funds Disbursed" means that Primeak does not transfer or issue any loan, funds, or secured savings account to the participant. This program does not include disbursement of principal.
Section 2 – Credit Builder Program Participation
2.1 Program Access and Simulation

Upon enrollment, the participant is entered into a credit builder program that simulates a fixed-term installment account. No funds are transferred or disbursed to the participant, and no savings account is opened or funded. The program is designed to help build positive credit history through regular monthly service fee payments that may be reported to one or more credit bureaus.

3.2 Payment Schedule

The first payment will be due approximately 30 days after enrollment, and subsequent payments will recur monthly on the same day. If the billing date falls on a weekend or holiday, payment will be processed on the next business day.

3.3 Payment Method Authorization

By enrolling in the program, participants authorize Primeak to debit their bank account or card on file for the service fee each month. Participants may update their payment method at any time or cancel service before the next billing cycle. Authorization remains in effect until canceled.

Section 3 – Payments and Billing Terms
3.1 Monthly Service Fee

Participants agree to pay a monthly service fee of $ for a duration of 12 months. The total program fee is $.00. These payments are not repayments of any principal or interest, as no loan is issued.

Section 3.3 Credit Builder Features
3.3.1 Credit Reporting

Primeak may report the participant's monthly payment activity to one or more national credit bureaus (Experian, Equifax, and/or TransUnion). Credit reporting is subject to participant eligibility and payment compliance. Primeak does not guarantee any particular credit score outcome.

3.3.2 Simulated Credit Line

This program simulates a fixed-term installment account for credit-building purposes only. No loan is issued, no funds are disbursed, and no funds are held in escrow or a secured savings account. The "loan amount" used for credit reporting is for simulation and data furnishing purposes only and is not accessible by the participant.

3.3.3 Cancellation

Participants may cancel their enrollment at any time without penalty. There is no early termination fee. All previously paid service fees are non-refundable. If a participant cancels, future payments will not be collected, and credit reporting may be discontinued.

Section 3.4 Program Fees and Payment Terms
3.4.1 Monthly Service Fee

Participants agree to pay a flat monthly service fee of $ for up to 12 months. The total cost of participation is $.00 if all 12 monthly payments are made.

3.4.2 Payment Structure

Each monthly payment of $ consists entirely of a service fee. There is no principal, no interest, and no loan balance associated with this program.

3.4.3 Late Payment Policy

Payments not received within 10 calendar days of the scheduled billing date may be considered late. Primeak reserves the right to assess a $25.00 late fee and suspend credit reporting for accounts that become past due.

3.4.4 No Prepayment Terms

As this program does not involve a loan or accruing interest, participants may cancel or complete the program early without penalty. There is no "payoff" or principal balance.

Section 4 – Participant Declarations
4.1 Authorization to Enroll

The participant affirms they are legally authorized to enroll in this program and to enter into this agreement.

4.2 Understanding of Program Nature

The participant understands this is not a loan and that no money will be disbursed or deposited on their behalf. This agreement constitutes a binding service subscription for credit-building purposes only.

4.3 Accuracy of Information

The participant certifies that the information provided during enrollment is accurate and agrees to notify Primeak of any change in contact or billing information within 30 days.

Section 5 – Payment Processing and Account Management
5.1 Accepted Payment Methods

Participants may make monthly service payments using any of the following approved methods:

  • Automatic debit (ACH) from a linked bank account
  • Debit or credit card via the Primeak customer portal
  • Other methods approved by Primeak in writing
5.2 Application of Payments

All payments will be applied to the participant's service account. As this is not a loan, no portion of any payment will be applied to principal or interest.

5.3 Partial Payments

Partial payments may be accepted at Primeak's discretion. However, only full and timely payments may be eligible for credit reporting.

Section 6 – Payment Authorization and Communication
6.1 Payment Authorization

By enrolling, participants authorize Primeak to initiate recurring electronic debits from their designated payment method in the amount of $ per month, unless canceled in advance. This authorization remains valid until the program is canceled or completed.

6.2 Updates and Notices

Participants agree to maintain current billing, address, and contact information with Primeak. Any changes must be reported within 30 days. Primeak may communicate program updates, payment notices, or account activity via email or other secure electronic means.

Section 7 – Participant Responsibilities

By enrolling, the participant agrees to:

  • Make full and timely payments each month
  • Maintain accurate and updated contact information
  • Use this program in good faith to build a positive credit history
  • Promptly respond to Primeak communications, including verification or dispute inquiries
  • Understand that non-payment or cancellation may result in discontinued credit reporting
Section 8 – Term and Cancellation
8.1 Effective Date and Term

This Agreement becomes effective upon enrollment and payment of the first monthly service fee by the participant. The intended program term is 12 months, but the participant may cancel at any time.

8.2 Cancellation by Participant

Participants may cancel the program at any time before their next billing date. No penalties apply. Past payments are non-refundable.

8.3 Cancellation by Primeak

Primeak reserves the right to suspend or cancel a participant's enrollment for non-payment, fraud, misuse of the program, or any violation of the terms of this Agreement. If cancellation occurs due to non-payment, credit reporting may be paused or discontinued.

8.4 No Balance Due

This program does not include a loan or disbursed funds. Upon cancellation, there is no principal balance or payoff amount due. Credit reporting will cease after cancellation is processed.

Section 9 – General Terms
9.1 Entire Agreement

This document represents the entire agreement between the participant and Primeak regarding participation in the Credit Builder Program. No verbal or written representations outside of this document shall alter the terms herein unless amended in writing by Primeak.

9.2 Modification

Primeak may modify this Agreement from time to time. Any changes will be communicated to participants by email or through the customer portal. Continued participation after such notice constitutes acceptance of the updated terms.

9.3 Notices

All communications related to this Agreement may be sent via email, SMS, or through the secure customer portal. Participants are responsible for maintaining up-to-date contact information.

Section 10 – Termination

This Agreement remains in effect for as long as the participant is enrolled in the Credit Builder Program and has an active account in good standing. Either party may terminate this Agreement at any time, for any reason, with written notice or through the customer portal.

There is no penalty for cancellation. Once canceled, no future payments will be processed and credit reporting will cease.

1. Agreement to Arbitrate

You ("Participant") and Primeak Inc. ("Primeak") agree to resolve any dispute related to your participation in the Primeak Credit Builder Program through binding, individual arbitration. This includes claims based on contract, law, misrepresentation, privacy, or data handling.

2. Scope of Arbitration

This agreement applies to all disputes between you and Primeak related to:

  • The Credit Builder Program or your enrollment
  • Credit reporting activity furnished by Primeak
  • Data use or customer service communications
  • Subscription payments, billing, or account status
  • Any other dispute arising from your participation in the program

Exceptions: You or Primeak may bring:

  • Small claims court actions (within jurisdictional limits)
  • Claims for temporary injunctive relief (e.g., fraud prevention)
  • Complaints to regulatory agencies (e.g., DFPI or CFPB)
3. Class Action Waiver

You and Primeak agree that all arbitration will be conducted individually.

You waive the right to:

  • Join class actions or collective proceedings
  • Serve as a class or representative claimant
  • Participate in consolidated or mass arbitrations
  • Act on behalf of other customers

The arbitrator may not combine your claim with others or preside over any form of class or representative action.

5. Costs and Fees

To ensure access to arbitration:

  • Claims under $10,000: Primeak pays all arbitration fees
  • Claims $10,000–$75,000: You pay $250, Primeak pays the rest
  • Claims over $75,000: Fees shared as per JAMS rules
  • Primeak pays all fees for counterclaims it files

Each party pays their own legal fees, unless the arbitrator awards fees based on applicable law.

6. Opt-Out Option

You may opt out of this arbitration clause by mailing a written notice to Primeak within 30 days of your enrollment.
